DK Senior Services provides senior care consulting and placement services, including but not limited to:

• Guidance throughout the senior care placement process

• Coordination with senior living communities, assisted living facilities, memory care providers, and other care organizations

• Ongoing support and advocacy for clients during care transitions

Our role is strictly advisory and consultative in nature. We do not provide direct medical, nursing, legal, or financial services. All final decisions regarding care arrangements remain solely with the client and their family.

3. Eligibility

Our services are available to individuals who are 18 years of age or older. By using our services, you represent and warrant that you have the legal authority to enter into this agreement on behalf of yourself or the senior individual for whom you are seeking care placement assistance.

4. Fees and Payment

4.1 Consulting Fees

DK Senior Services may charge fees for consulting and placement services. All applicable fees will be disclosed to you prior to the commencement of services in a written service agreement. Fees may vary depending on the scope and complexity of the services required.

4.2 Third-Party Referral Arrangements

DK Senior Services may receive referral fees or compensation from senior care facilities or providers to whom clients are referred. The existence of such arrangements does not affect the objectivity or quality of our recommendations. We will disclose any such referral arrangements upon request.

4.3 Payment Terms

Payment terms, including due dates and accepted payment methods, will be specified in your individual service agreement. Failure to remit payment as agreed may result in suspension or termination of services.

5. Client Responsibilities

To enable DK Senior Services to provide the most appropriate recommendations, you agree to:

• Provide accurate, complete, and up-to-date information regarding the care needs, health status, financial situation, and preferences of the senior individual

• Notify us promptly of any changes in circumstances that may affect the suitability of a recommended care placement

• Make all final placement and care decisions independently, based on your own assessment and judgment

• Conduct your own due diligence on any facility or provider recommended by DK Senior Services

• Comply with all agreements, rules, and requirements of any care facility or provider you engage

6. Disclaimer of Warranties

DK Senior Services provides its consulting and placement services "as is" and "as available." While we make every effort to provide accurate, current, and helpful information, we make no warranties or representations of any kind, express or implied, regarding:

• The suitability, quality, safety, or performance of any care facility or provider we recommend

• The accuracy or completeness of information provided by third-party care facilities or providers

• The outcomes or results of any care placement made following our recommendations

We do not guarantee that our recommendations will meet your specific requirements or expectations. You acknowledge that the selection of senior care is a personal decision and that outcomes may vary based on factors outside our control.

7. Limitation of Liability

To the fullest extent permitted by applicable law, DK Senior Services, its owners, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

• Your use of or reliance on our services or recommendations

• The acts or omissions of any care facility or provider to whom you are referred

• Any errors, omissions, or inaccuracies in information provided to us by you or any third party

• Any delay, interruption, or inability to access our website or services

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to DK Senior Services in the three (3) months preceding the claim.

8. Confidentiality and Privacy

DK Senior Services is committed to protecting the privacy and confidentiality of your personal and health information. Any information you share with us will be used solely for the purpose of providing our services and will not be disclosed to third parties except as necessary to fulfill those services or as required by law.

9. Intellectual Property

All content on the DK Senior Services website, including but not limited to text, graphics, logos, and resources, is the property of DK Senior Services and is protected by applicable copyright and intellectual property laws. 10. Third-Party Facilities and Providers

DK Senior Services acts as an intermediary and does not operate, manage, or control any senior care facility or provider to which we refer clients. We are not responsible for the actions, conduct, policies, or standards of any third-party care facility or provider. Any agreement you enter into with a care facility or provider is solely between you and that party.

We encourage all clients to independently verify the licensing, accreditation, and standing of any facility or provider before entering into a care arrangement.

11. Termination of Services

Either party may terminate the consulting engagement at any time upon written notice. In the event of termination, you agree to pay for all services rendered up to the date of termination. DK Senior Services reserves the right to terminate services immediately in cases of misrepresentation, non-payment, or conduct that we deem harmful or disruptive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the state in which DK Senior Services is registered, without regard to its conflict of law provisions. Any dispute arising from these Terms or our services shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Indemnification

You agree to indemnify, defend, and hold harmless DK Senior Services and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our services, your breach of these Terms, or your violation of any applicable law or the rights of a third party.

These Terms, together with any written service agreement signed by the parties, constitute the entire agreement between you and DK Senior Services with respect to the subject matter herein, and supersede all prior or contemporaneous communications, whether written or oral. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
